1. Who these terms are between
These Terms of Service (the “Terms”) govern your access to and use of the Utricle website, applications, question banks, and related services (together, the “Service”). They form a binding agreement between you and the operator of Utricle (“Utricle”, “we”, “us”).
We have not yet published the registered name and address of the operating entity on this site. If you need them — before you buy, or to serve a formal notice — ask through our contact form and we will give them to you in writing. We would rather say that plainly than print something here that is not the registered record.
By creating an account, purchasing a plan, or otherwise using the Service, you confirm that you have read and accepted these Terms and the documents they incorporate: the Subscription & Billing Terms, the Refund Policy, the Acceptable Use Policy, the Copyright & Intellectual Property notice, and the Privacy Policy. If you do not accept them, do not use the Service.
2. Eligibility
You must be at least 16 years old, or the age of majority where you live if that is higher, to hold an account. By registering you represent that you meet that threshold and that the information you give us is accurate and yours.
An account is personal. It is held by one identified human being, and it may not be registered on behalf of a group, a class, a study circle, or an organisation. If you need access for several people, ask us about institutional licensing rather than sharing one login.
3. Your account
- You are responsible for your credentials. Everything done under your account is treated as done by you. Choose a password you use nowhere else, and enable two-factor authentication in your settings.
- Tell us fast. If you believe someone else has your password or has used your account, contact us immediately so we can lock it and help you recover it.
- One browser at a time. The Service enforces a single active session per account. Signing in elsewhere ends the earlier session. This is an anti-sharing measure, and it is not configurable.
- Keep your email reachable. Security notices, payment confirmations, and expiry warnings go to the address on the account. A bounced address is not a defence against a notice we sent.
4. Subscriptions, prices, and payment
Access to a question bank requires a paid plan for that specific product. Plans are fixed-duration windows, and a window begins when you activate it, not when your payment confirms: a confirmed payment puts the days in your account and they wait there until you start them. Nothing auto-renews and we store no payment instrument, so there is no recurring charge to cancel.
Full detail — how on-chain confirmation works, what happens if you underpay or overpay, what a price lock covers, and what happens when a window expires — is in the Subscription & Billing Terms. Prices shown on the pricing pages are in US dollars and are the prices that apply.
Referrals and discounts. Referrals are earned once you are a paying customer: your link credits only people who register after your own first payment has confirmed, and someone who registered before that is not counted later. When it is credited, they receive a percentage off their first purchase, applied automatically at checkout, and if they subscribe we email you a single-use discount code for a percentage off your own next purchase. Those codes are personal: they work only on the account they were issued to, may be used once, expire on the date stated in the email, and cannot be sold, transferred, or exchanged for money. Only one discount applies to any purchase — a code replaces another reduction rather than adding to it. Rewards are not earned for accounts you control yourself, and we may withhold or cancel a reward, or the codes already issued for it, where an account is suspended under section 9 or where a referral was not genuine. The current percentages are stated on the referral card in your settings, and we may change them for future referrals; a code already issued to you keeps the value printed on it.
5. What you may do with the content
While your subscription is active, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view and use the questions, explanations, images, and analytics of the products you have paid for, for your own exam preparation.
That licence does not let you:
- copy, redistribute, sell, sublicense, publish, or post any Utricle content;
- capture, transcribe, screenshot, record, scrape, or otherwise reproduce questions or explanations in any form, including as input to or output from an AI system;
- share your credentials, or let anyone else study from your account;
- use the Service, or anything derived from it, to build a competing product.

6. What you contribute
Notes, highlights, flashcards, and messages you create remain yours. You grant us only the permission we need to operate the Service — to store your content, display it back to you, and back it up. We do not publish it, sell it, or show it to other users.
If you send us feedback or a feature suggestion, we may act on it without obligation or payment. That is the only category of user content we treat as free to use.
7. Availability and changes to the Service
We aim for high availability but do not promise uninterrupted service. We may take the Service down for maintenance, upgrades, or in response to a security incident. Short outages do not extend a subscription window.
A sustained outage is different. If the Service is materially unavailable for more than 72 consecutive hours during your window, contact us and we will extend the window or refund the affected period at your choice. That is a commitment, not a courtesy.
We add, revise, and retire content continuously. The bank you subscribe to will change during your window — that is the product working as intended. We will not remove an entire product mid-window without notice and a pro-rata refund.
8. Medical disclaimer
Utricle is educational material for exam preparation. It is not medical advice, it is not a clinical decision-support tool, and it must never be used to diagnose or treat a patient. We make no guarantee about your exam result. The full statement is in the Medical & Exam Disclaimer.
9. Suspension and termination
You may stop using the Service at any time and delete your account from Settings → Danger zone. Deleting the account ends your access immediately; whether any money comes back is governed by the Refund Policy.
We may suspend or terminate an account when:
- the Acceptable Use Policy has been broken — in particular credential sharing, bulk extraction of content, or redistribution;
- a payment is reversed, disputed, or later shown to be fraudulent;
- we are required to by law.
Except where content was being extracted or redistributed at scale, we will tell you what we saw and give you a chance to answer before a permanent termination. An account terminated for cause is not refunded.
10. Changes to these Terms
We may revise these Terms. If a change is material — anything affecting your money, your data, or what you are permitted to do — we will email you and post an in-app notice at least 14 days before it takes effect, and the “last updated” date at the top of this page will move. Continuing to use the Service after that date is acceptance. If you would rather not accept, tell us within those 14 days and we will refund the unused remainder of your window.
11. Warranties and limitation of liability
The Service is provided “as is”. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of these Terms or your use of the Service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental, or consequential loss — including lost profits, lost study time, or exam outcomes.
Nothing in these Terms limits liability that cannot lawfully be limited: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory consumer right you hold in your own country. Where local consumer law gives you more than this document does, the local law wins.
12. Governing law and disputes
These Terms are governed by the law of the jurisdiction in which the operating entity is registered, and that jurisdiction's courts have exclusive jurisdiction — without prejudice to any mandatory consumer protection you hold where you live. That jurisdiction is not yet named on this site; ask through our contact form and we will tell you which one it is.
Before either side goes to court, we ask you to raise the dispute with us directly. In practice almost everything is resolved that way, faster and at no cost to you.
13. General
- Severability. If a clause is held unenforceable, the rest stays in force.
- No waiver. Not enforcing a term once does not waive it.
- Assignment. You may not transfer your account or these Terms. We may assign them to a successor entity, on notice to you.
- Entire agreement. These Terms and the documents they incorporate are the whole agreement between us about the Service.
